Circular resolutions

A circular resolution — sometimes a flying minute — is a decision taken between meetings without convening one.

User guide

Circulate the resolution with a deadline. Directors indicate their position. When the deadline passes, or when enough have responded, the outcome is recorded.

Check your constitution first. Many require unanimity for circular resolutions, which is stricter than an ordinary meeting resolution.

It closes at its deadline. Whether that is valid depends on your constitution, not on the software.

Known limitations

The product does not enforce your constitution's threshold — it records what happened. Interpreting whether it carried is a governance judgement.
